INDUSTRY STO / INDUSTRY CAPITAL STRUCTURE

Give industry value
a clear capital structure.

Industry value is built through assets, operations and collaboration. Start with the real business: clarify cash flow, entity relationships and governance responsibilities, then explore how a placement could connect to securities tokenization.

INDUSTRY LEADERS / CLUSTERS / SUPPLY CHAINS

WHERE TO BEGIN

When the question spans
businesses and assets.

Start with existing operations and industry resources, and examine how the parts can work within one coherent arrangement.

01

Industry-leading businesses

Established operations need a coherent capital structure.

Focus on assets, operating scope, existing entities and the relationship between growth objectives and capital options.

02

Industry-cluster platforms

Multiple participants need a shared structural basis.

Clarify each participant’s assets, rights, conditions of participation and coordination arrangements, beyond simply adding up scale.

03

Supply-chain platforms

Interdependent businesses need aligned value and responsibilities.

Map transactions, collections, partnerships and data relationships; distinguish the platform’s own value from its partners’ rights.

Foundations to clarify first

If ownership, operating records or authority to participate remain unclear, start by resolving those questions. For a single early-stage venture, consider the Project STO page as a starting point.

FOUR DIMENSIONS, ONE PICTURE

Make the industry
relationships visible.

Assets are the starting point. Bring operating evidence, participants and ongoing responsibilities together to discuss how the capital structure could support industry value.

Expand each dimension to see the work and potential working materials.

01AssetsWhich sources of value can be explained?

Map operating assets, technology and industry resources. Distinguish owned, partnered, restricted and unverified elements, and define what is in scope and how it relates to operations.

Asset and resource inventory · Ownership information gaps

02Cash flowWhere does revenue come from, and what sustains it?

Examine revenue, collection cycles, principal costs and dependencies. Separate historical records from forward-looking assumptions to ground the discussion in operating evidence.

Operating model map · Revenue and cost overview

03EntitiesWho owns, operates and participates?

Identify asset holders, operators, platforms and partners. Map contractual, ownership and working relationships, including decision rights and required participants.

Entity map · Participant responsibilities

04GovernanceHow will coordination and accountability work?

Discuss decision-making, information provision, rights administration and ongoing operations. Bring contributions, responsibilities and future coordination into the same plan.

Governance issues · Ongoing operating responsibilities

FROM INDUSTRY TO CAPITAL

From industry foundations
to a capital route worth exploring.

A placement plus STO is one proposed route. Progress at each stage depends on actual conditions and specialist review.

  1. 01

    Industry foundations

Assets, cash flow and operating records

    Establish scope and evidence
  2. 02

    Capital structure

    Entities and proposed placement route

    Compare fit and prerequisites
  3. 03

    Securities and representation

Securities rights linked to digital records

    Clarify rights and documentation
  4. 04

    Access and operations

    Participation, disclosure and coordination

    Confirm requirements and responsibilities

Where a listed-company placement is proposed, further work must address its fit, the relationship between securities rights and digital records, and the providers, participants and transfer arrangements involved.

BEFORE WE TALK

Clarify the starting point
for collaboration.

How does Industry STO differ from Project STO?

Project STO focuses on a specific project’s value foundations and capital route. Industry STO examines the overall structure across assets, businesses or participants. The choice depends on scope and coordination complexity, rather than a fixed size threshold.

Does every business in a cluster need to participate?

Participation is not assumed for every business. First establish willingness to collaborate, asset and rights boundaries, and authority to participate. Then agree which entities enter the current scope and which may be considered later.

Are assets alone enough to proceed with an STO?

Ownership, operating records, entity relationships, proposed securities arrangements and implementation conditions also need review. The digital representation of rights must align with documentation and specialist findings; technical deployment alone is not the starting point.

How are timing and fees agreed?

Agree on phases and a quotation after establishing the industry scope, participants and work modules. Identify professional services, technical implementation and ongoing operating costs separately in the proposal and agreement.

START WITH YOUR INDUSTRY

Start with your industry
as it stands today.

Describe the industry foundations, participants and the issue you want to resolve. These provide a basis for discussing what to examine next.
