# Reference review and common misconceptions

Andrew David W.Y. · T04 exercise material 03

Here, “defer” means defer the proposed capital action, not stop operations or suspend obligations that must be fulfilled. Continuing operations, evidence gathering and capital arrangements may combine or run in parallel.

Read after completing all four units. This reviews reasoning/evidence, not a single correct path for a company; no completion times, costs or returns are invented.

## 1. Q01: separate goals and means

Business expansion is a direction, but actions, executors and resource amounts are unspecified. A ticker may be a milestone in public-capital arrangements; it cannot replace the business goal or prove financing complete.

A workable purpose sheet asks for business/asset scope, funding uses/timing, existing cash, proposed ongoing costs and equity/governance constraints.

Preparing operating/financial foundations first can be reasonable if reasons and reassessment conditions are stated. “Listing is bad” and “the sooner the better” are insufficient.

## 2. Q02: complete proposals before comparing

These labels are not a simple ranking on one dimension. Identify issuer/business first, then compare combinations of transaction/issuance method, venue, funding and ongoing requirements.

For example, an RTO transaction and a proposed OTCQB application are separately checkable; financing needs its own arrangements. Whether direct listing raises new funds depends on venue/proposal, not an absolute rule. Compare the same asset scope, funding need, cost period and assessment date.

No evidence on the transaction vehicle, audit, applicable rules or terms is given here, so no fastest/cheapest conclusion is supported. Identifying gaps and evidence methods is a valid output.

## 3. Q03: split one progress claim into checkable facts

A possible rewrite:

“The exercise materials report that some documents have been submitted and a financing-intent document signed. Recipient, procedure, receipts and feedback need checking. Binding terms, conditions precedent, closing, receipt and fund usability remain unclear. Share acquisition and resale conditions require separate review.”

This prevents earlier descriptions from proving later outcomes.

Seek procedure receipts/feedback, financing terms/conditions, closing/fund records, issuer/security status, resale conditions and corresponding review. Required evidence varies by proposal; this is not a guaranteed complete statutory checklist.

A ticker does not prove funds received; a quotation does not prove willing buyers.

## 4. Q04: handle different problems separately

For slow collections, examine business records, customer payment terms and cash arrangements. For low usable funds, check actual receipts, costs and restrictions. For thin trading, check periods, trading conditions and market facts.

They may connect, but must not be merged into “more promotion needed” without causal checks.

Also assess applicable reporting, ongoing eligibility, governance and contracts. Duties depend on issuer/facts; thin trading is not automatically a violation or a required form filing.

If digital securities are an alternative, separately check rights, registration/exemptions, participants, trading and settlement. Non-adoption remains valid; do not force a token into the diagram just to complete a cycle.

Explaining gaps, checker, handling and review triggers is more useful than selecting an unsupported action.

## 5. Common misconceptions

| Original claim | Correction | External checking source |
| --- | --- | --- |
| Filing registration documents permits sale under that registration | Separate filing, effectiveness and actual issuance/closing | [R01](https://www.sec.gov/resources-small-businesses/going-public) |
| Direct listing never raises funds | Depends on venue/arrangement; NYSE has a simultaneous fundraising option | [R03](https://www.nyse.com/direct-listings) |
| OTC quotation is exchange listing and regulatory quality approval | Separate quotation, exchange eligibility and regulatory endorsement | [R04](https://syndication.finra.org/content/no-finra-did-not-approve-security-trading) |
| RTO automatically leads to Nasdaq | Check initial-listing/reverse-merger requirements and exceptions separately | [R05](https://listingcenter.nasdaq.com/rulebook/Nasdaq/rules/Nasdaq-5100-Series/5110/EQUALS/) |
| OTCQB status automatically survives a control change | Check notice, reapplication and ongoing eligibility against change facts | [R06](https://www.otcmarkets.com/files/OTCQB_Rules.pdf) |
| All US-bound companies use 10-K/10-Q/8-K calendars | Establish issuer/reporting status first; do not apply mechanically to foreign issuers | [R07](https://www.sec.gov/resources-small-businesses/going-public/exchange-act-reporting-registration), [R08](https://www.sec.gov/files/form20-f.pdf) |
| FPI generally excluded from Reg FD means disclosure can be ignored | Reg FD scope does not replace anti-fraud/applicable market duties | [R09](https://www.sec.gov/rules-regulations/2000/08/selective-disclosure-insider-trading) |
| All shares trade freely once a holding period ends | Check resale route, holder/issuer status and other conditions separately | [R10](https://www.sec.gov/reports/rule-144-selling-restricted-control-securities) |
| An on-chain token automatically grants equivalent underlying equity and global trading | Identify actual rights, holding structure and issuance/trading conditions | [R11](https://www.sec.gov/newsroom/speeches-statements/corp-fin-statement-tokenized-securities-012826-statement-tokenized-securities), [R12](https://www.sec.gov/files/rules/exorders/2026/34-106402.pdf) |
| Higher market value means more financing cash for the company | Keep market valuation, share transactions and corporate funding records separate | Method used in this exercise |

R numbers refer to the dated official-reference table. The first nine distinctions use official sources, without determining case-specific applicability.

## 6. Records for continuing review

| Observed change | First check/add | Possible next step | Cannot directly infer |
| --- | --- | --- | --- |
| Usable funds below plan | Receipts, fees, restrictions, budget definitions | Adjust spending pace; recheck funding plan/authority | More market communication fills cash gap |
| Business/M&A integration below plan | Operations, collections, integration/governance | Revise operations; assess disclosure/transaction handling | Market must undervalue company |
| Shareholder wants resale | Security, holder, agreement and available routes | Appropriate professionals check feasible arrangements | Company must/can arrange fixed-price exit |
| Thin trading | Data quality, periods, spreads, depth, float, information | Identify unknown causes, observe and improve controllable work | Publicity deficiency or any single cause proven |
| New digital trading arrangement proposed | Rights, rule scope and special conditions | Study, test or decline | Automatic exemption or stable liquidity |

Teaching suggestions, not identical instructions for every issuer. Determine people, authority and procedures in the actual proposal.

## 7. Assessing completion

Mark each “done / partly done / needs work” and identify a sentence/table. No total score or claim of a validated professional-qualification test.

| Criterion | Reviewable evidence |
| --- | --- |
| Clear goals | Capital goals linked to business, fund uses and ongoing constraints |
| Separate dimensions | Method, venue, funding and resale conditions separately recorded |
| Comparable basis | Funding, cost, period and assessment date comparable; unknowns explicit |
| Evidenced status | Each progress claim cites materials without jumping to outcomes |
| Bounded rules | Issuer, venue, provision, date and remaining checks stated |
| Actionable review | Responsible roles, needed evidence, confirmation authority and triggers |
| No guaranteed results | No promised approval, receipt date, volume, price or exit |
| Revisable | New facts may trigger evidence, path changes, pace adjustment or deferral |
