# Four-stage exercises

Andrew David W.Y. · T04 exercise material 01

Here, “defer” means defer the proposed capital action, not stop operations or suspend obligations that must be fulfilled. Continuing operations, evidence gathering and capital arrangements may combine or run in parallel.

All statements below are fictional exercises, not actual company progress. Evidence is deliberately insufficient for a final path choice; identify gaps, reasons for comparison and next steps.

## Unit 1 | Ground purpose in business needs

Q01:

“The company wants to expand, needs funds and hopes to use shares for future acquisitions. The team therefore makes obtaining a ticker as quickly as possible its first goal.”

Answer:

1. What are the operating goal, funding need and public-market goal? Which are merely aspirations?
2. What entity, business, funding and ongoing-cost evidence is minimally needed to decide whether to proceed now?
3. Without entering public markets yet, what work remains necessary and what alternatives merit study?

Output: a one-page purposes/constraints sheet. Do not invent issuer, financing amount, returns or completion date.

## Unit 2 | Compare complete proposals on a common basis

Q02:

“Plan A says IPO, B says RTO plus OTCQB, and C says direct listing. The team wants to rank them by speed and cost, then follow the winner.”

Answer:

1. Which different dimensions do these labels contain, and what is missing for complete proposals?
2. Add pending items to each: entities/assets, issuance/transaction, venue, financing closing, dilution, ongoing obligations and resale conditions.
3. Before comparing cost/time, what common basis is needed? Which variable changes trigger recomparison?

You may include deferring a public path; do not force every method into the table. Whether direct listing also raises funds depends on specific arrangements; do not assume an answer.

Output: compare at least two alternatives. All may remain evidence-insufficient, provided you identify missing documents and how to proceed.

## Unit 3 | What does progress actually prove?

Q03:

“The project submitted some documents and signed a financing-intent document, so financing is complete and shareholders can sell soon.”

Answer:

1. Is there evidence of recipient, procedure and current response to the submission?
2. What is known/unknown about intent, definitive terms, conditions precedent, closing, actual receipt and usable funds?
3. Can the sentence establish which securities shareholders receive or their resale, holder-status, contractual and other limits?
4. If Rule 144 or market eligibility is mentioned, which applicability facts need checking first, and by whom?

Output: an itemized progress ledger and an evidence-bounded rewrite. Do not present the table as a statutory sequence for every project.

## Unit 4 | Review after changes

Q04:

“After progressing with public-market arrangements, customer collections lag the plan, cash available for operations is lower than expected and trading is thin. Someone says more promotion and a token issuance will solve these problems.”

These are fictional problem settings without real data or verified causes.

Answer:

1. Are operating collections, net usable financing and securities trading the same problem? What must each check?
2. How should applicable disclosure, governance and ongoing-eligibility requirements be checked? Thin trading alone cannot establish a particular required report.
3. What can start as fact checks/internal improvements, and what may need formal authorization or professional procedures?
4. If studying digital securities, what requires separate checking? Is non-adoption a reasonable alternative?
5. Which new facts would prompt continuing, further evidence, changed pace or deferral?

Output: review record, proposed actions and reopening conditions. Do not promise more trading, price support or guaranteed exit.

## Partner questions

- Is this a goal, an actual fact or an applicable rule?
- Which step does this evidence prove, and which does it not?
- Why does the rule apply here; would another issuer/market differ?
- Who confirms the action, and which conditions permit implementation?
- If the condition is unmet, what is the alternative?
